• Facilitation of introductions between market participants
• Verification services for platform participants
• Information and resources related to commodity trading

Important: Nox Commercial operates exclusively as an intermediary. We do not:

• Trade commodities on our own account
• Act as a principal in any transaction
• Provide financial services, investment advice, or brokerage services in securities, bonds, or real estate
• Guarantee the performance of any transaction
• Assume liability for transactions between buyers and sellers

4. User Eligibility and Registration

4.1 Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Be a legitimate business entity or authorized representative of a business
• Comply with all applicable laws and regulations in your jurisdiction
• Provide accurate and truthful information during registration

• The successful completion of any transaction
• The quality, safety, or legality of commodities listed on the platform
• The ability of buyers or sellers to fulfill their obligations
• Continuous, uninterrupted, or error-free access to the Services

6.3 User Responsibility

Users are solely responsible for:

• Conducting their own due diligence on potential trading partners
• Verifying the legitimacy and credentials of other users
• Negotiating and executing transactions independently
• Complying with all applicable laws and regulations
• Obtaining necessary licenses, permits, and authorizations
• Resolving disputes directly with other users

7. Fees and Payment

Certain Services may be subject to fees. We will clearly disclose any fees before you incur them. Fees are non-refundable unless otherwise stated or required by law. You agree to pay all applicable fees in a timely manner.

All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or charges imposed by your jurisdiction.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, NOX COMMERCIAL BROKERS L.L.C. SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from transactions between users
• Damages resulting from unauthorized access to or use of the Services
• Damages caused by third parties or events beyond our control

Our total liability for any claims arising from or related to the Services shall not exceed the amount of fees paid by you to us in the twelve (12) months preceding the claim.

10.3 No Liability for User Transactions

Nox Commercial is not a party to any transaction between users. We assume no liability for:

• Payment disputes between buyers and sellers
• Breach of contract by users
• Fraud or misrepresentation by users

11. Indemnification

You agree to indemnify, defend, and hold harmless Nox Commercial, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you submit to the platform
• Transactions you enter into with other users

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features (if available).

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without notice, if:

• You engage in fraudulent or illegal activity
